CARLYLE agrees to acquire NIDEC COMPONENTS

Tokyo, Japan – 1 October 2026 -- Global investment firm Carlyle (NASDAQ: CG) today announced that it has agreed to acquire Nidec Components Corporation (“Nidec Components”) from Nidec Corporation, its parent company. The transaction is subject to customary regulatory approvals and other closing conditions.

Founded in 1967, Nidec Components is an electronic components manufacturer that develops, manufactures, and sells a variety of industrial products including pressure sensors, switches, and torque sensors, encoders. The company has built a strong competitive position in its markets underpinned by the quality and reliability of its products, and benefits from secular tailwinds such as AI and industrial automation which are driving demand for its products.

The transaction is part of Nidec Corporation’s planned portfolio rationalization and represents an opportunity for Nidec Components to enter a new chapter of growth as an independent company with greater flexibility in decision-making, growth investment, and resource allocation. Working closely alongside management, Carlyle will support the future growth of the business, including through global expansion, operational improvement, and strengthening of the organizational structure.

Carlyle will leverage its significant investment experience in the electronic components and industrial technology sectors in Japan, including through investments such as Rigaku, TOTOKU, Iwasaki Electric and Kyoden, as well as its extensive global experience in industrial carve-outs.

The investment in Nidec Components further strengthens Carlyle’s track record of investing in the Industrial, Technology, and Infrastructure Services sectors in Japan.
